I, _________________________, Director of _________________________________ understand and agree to each of the following:

1) The Scotch’n’Soda Board of Directors has made a commitment to the show.
The Scotch’n’Soda Constitution states:

[5.5.7] The Board's vote to accept both a script and a director's proposal signifies Scotch 'n' Soda's commitment to produce the show.

As the board is ultimately responsible for the show, the Board retains the authority to overrule a directorial decision with a unanimous vote. The Board will exercise this authority only in extreme cases where they deem it necessary to protect the best interests of the show and of the organization as a whole.

2) The Director must respect the authority of the Board.

3) The Board members must attend 2 rehearsals prior to tech week.

4) The Director understands the Board Preview process. The Scotch’n’Soda Constitution states:

[5.5.9] Board Preview. The Board of Directors shall preview a show approximately 2/3 of the way through the rehearsal period.

• [5.5.9.1] All members of the Board of Directors and the show's directors must be present.
• [5.5.9.2] After the preview a vote shall be taken with one vote for every member of the Board not in the cast or directing staff and one vote for the entire Director's Staff.
• [5.5.9.3] The Board shall determine the audience of the Board preview and discussion.
• [5.5.9.4] The show will pass the Board Preview if the final vote is unanimous in favor of the continuation of the show.
• [5.5.9.5] If the show fails the preview, the Board of Directors shall take whatever action is appropriate. These may include, but are not limited to: removal of the director and appointment of a new director, termination of the show prematurely, or appointment of an overseeing director.
• [5.5.9.6] If the show continues after a failed preview, a second Board preview shall occur. If the show fails the second preview, the Board of Directors shall determine the course of the show.
• [5.5.9.7] If more than one-half (1/2) of the Board of Directors is ineligible to participate in the final vote of the Board Preview, the Board of Directors shall determine the policy of conducting the preview.
• [5.5.9.8] The Board has the discretion to modify the preview process as circumstances warrant.

5) A Directorial Representative will attend board & production meetings.

6) A Directorial Representative must be present at all rehearsals.

7) All directing staff will attend load-in and strike.

8) The Director will keep the Board informed and up-to-date.

9) The Director understands the Board’s authority to appoint an Overseeing Director (OD).
The Scotch’n’Soda Constitution states:

[5.5.6] The Board of Directors retains the right to appoint an overseeing director.

The Board will determine the roles of the OD at the time of the appointment. The director has control over how the situation is presented to the cast and crew, provided their presentation does not skew the original intentions of the Board.
